Table of Contents
1. Scope of Services & Engagements
PT Cipta Tekhnologi Adikara operates as a 360° Custom Digitalization Partner based in Indonesia, providing integrated technology solutions across four primary operational pillars:
Specific project deliverables, timelines, milestones, technical architectures, and service level agreements (SLAs) shall be set forth in individually executed Statements of Work (SOW), Service Level Agreements, quotation confirmations, or Purchase Orders (PO) that incorporate these Terms by reference.
- Custom Software & Digital Transformation: Architecture design, end-to-end custom application development, enterprise web and mobile platforms, system modernization, and digital automation.
- Professional IT Training & Corporate Upskilling: Instructor-led technical training courses, practical hands-on corporate workshops, technology bootcamps, and professional team skill development.

2. Quotations, Proposals & Order Formation
Written quotations and commercial proposals issued by the Company remain valid for thirty (30) calendar days from the date of issuance unless explicitly stated otherwise in the document.
An order or engagement becomes legally binding only upon the mutual execution of a formal Statement of Work, receipt of an authorized Purchase Order confirming the quotation, or written electronic confirmation from an authorized representative of both parties.
Any modification, scope expansion, or feature change requested following order confirmation must be documented in a written Change Order signed by both parties, detailing any corresponding adjustments to pricing, deliverables, and delivery schedules.
3. Pricing, Invoicing & Payment Terms
All service fees and product prices are quoted in Indonesian Rupiah (IDR) unless specifically quoted in United States Dollars (USD) or another foreign currency under an international contract.
Prices are exclusive of Indonesian Value Added Tax (Pajak Pertambahan Nilai / PPN), withholding taxes, customs duties, or shipping levies, which shall be added to invoices in accordance with applicable tax regulations of the Republic of Indonesia.
Unless alternative milestones are specified in an applicable Statement of Work, payment schedules adhere to the following standard commercial terms:
Payments must be remitted via bank transfer to the official corporate bank account designated on the invoice. Any late payment beyond the agreed due date may accrue interest at the rate of 1.5% per month (or the maximum rate allowed by law) and may result in temporary suspension of active services or delivery holds after five (5) business days prior written notice.
- Software & Managed Engagements: An initial deposit upon contract execution, followed by milestone-based billings upon deliverable inspection, with final balance due within fourteen (14) days of project acceptance.
- IT Training Programs: Full payment or agreed enterprise booking retainer prior to program commencement.
- Hardware & License Wholesale: Payment upon order confirmation prior to dispatch, or net thirty (30) days for pre-approved corporate procurement accounts.
4. Delivery, Milestones & Acceptance
For custom software engineering and digitalization projects, deliverables will be submitted to the client for inspection and acceptance in accordance with agreed milestone schedules.
The client shall have ten (10) business days from delivery to evaluate the deliverable against agreed acceptance criteria. If defects are identified, the client must provide specific written feedback, and the Company will promptly rectify material non-conformities at no additional cost. If no written notice of non-conformity is received within the 10-day window, the deliverable shall be deemed formally accepted.
For hardware wholesale orders, risk of loss passes upon delivery to the client's designated site. The client must inspect physical goods within three (3) business days of delivery and report any transit damage or Dead on Arrival (DOA) units for prompt RMA or vendor replacement.
5. Intellectual Property Rights
Client Deliverables: Upon receipt of full and final payment for the applicable engagement, all custom application source code, bespoke designs, and project documentation created exclusively for the client shall become the property of the client.
Company Background IP: The Company retains all right, title, and interest in and to its pre-existing tools, libraries, foundational frameworks, modular components, methodologies, and general know-how developed independently of the engagement. The Company grants the client a perpetual, non-exclusive, worldwide, royalty-free license to use such background IP solely as integrated within the delivered solution.
Client Assets: The client retains all ownership of client data, brand marks, and technical assets provided to the Company, granting us a temporary license to use such assets solely to perform the agreed services.
Third-Party & Open Source: Third-party commercial software licenses and open-source packages remain subject to their respective vendor or open-source licenses.
6. Client Responsibilities & Acceptable Use
Successful execution depends on cooperative engagement. The client agrees to provide timely access to necessary personnel, systems, credentials, project specifications, and feedback required for performance.
The client agrees to use the Company's services, deliverables, and infrastructure solely for lawful purposes and in compliance with all applicable Indonesian and international regulations. The client shall not:
Any delay in project delivery caused by client inaction, withheld approvals, or late asset provisioning shall adjust project schedules accordingly without liability to the Company.
- Use deliverables or services to host, transmit, or distribute malicious code, spyware, viruses, or unlawful content.
- Attempt unauthorized vulnerability assessments, penetration testing, or security bypasses on Company-hosted environments without prior written authorization.
- Infringe upon the intellectual property, privacy, or statutory rights of any third party.
7. Warranties & Limitation of Liability
Professional Standard: The Company warrants that it performs all consulting, development, and training services using qualified personnel exercising professional diligence and skill in accordance with recognized industry standards.
Software Warranty: Custom software deliverables carry a thirty (30) day warranty period commencing on formal acceptance, during which the Company will remedy verifiable code defects at no additional charge. This warranty excludes defects caused by client modifications, third-party software incompatibilities, or environmental changes outside agreed specifications.
Hardware Pass-Through: Hardware products and proprietary commercial software are covered solely by warranties provided directly by the original equipment manufacturer (OEM). The Company passes through all OEM warranties and facilitates RMA processing where applicable.
Liability Cap: To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity. The Company's total aggregate liability arising out of or related to any engagement shall not exceed the total fees actually paid by the client under the specific Statement of Work during the six (6) months immediately preceding the event giving rise to the claim.
8. Term & Termination
These Terms remain in effect throughout the duration of any active Statement of Work or commercial relationship between the parties.
Either party may terminate an ongoing engagement for convenience by providing thirty (30) calendar days prior written notice, unless an alternate notice period is stipulated in the governing Statement of Work.
Either party may terminate an engagement immediately upon written notice if the other party commits a material breach of these Terms and fails to remedy such breach within fourteen (14) calendar days of receiving written notice, or becomes insolvent, files for bankruptcy, or undergoes liquidation.
Upon termination, the client shall promptly compensate the Company for all services completed, work-in-progress hours logged, and non-refundable hardware or software licensing commitments incurred up to the effective termination date.
9. Confidentiality & Non-Disclosure
Each party agrees that all technical architectures, proprietary business information, client records, source code, pricing structures, and commercial terms disclosed by one party to the other shall be treated as confidential information.
Neither party will disclose confidential information to any third party without prior written consent, except to employees, contractors, and legal or financial advisors who require access for the engagement and are bound by confidentiality obligations at least as restrictive as these Terms.
Confidentiality obligations shall survive termination or expiration of any engagement for a period of three (3) years.
10. Governing Law & Dispute Resolution
These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of the Republic of Indonesia, without regard to its conflict of law principles.
In the event of any controversy, claim, or dispute arising between the parties, the parties shall first attempt in good faith to resolve the matter through amicable consultation and executive negotiation within thirty (30) calendar days.
If the dispute cannot be resolved through amicable negotiation, it shall be submitted to the exclusive jurisdiction of the competent District Court in Jakarta, Indonesia.
